Above unaudited figures were taken on record by the Board of Directors in their meeting held on 29.4.2004.

The previous accounting year figures are for nine months ended 31st March 2003.

The Company had received total demand of Rs. 16.62 Crores from Commissioner of Customs (Gen.), New Delhi in connection with import of Drawings/ Designs/ Documents during the year 1994-95. CEGAT on the basis of our appeal had passed an order confirming custom demand of Rs. 12.62 Crores along with penalty on the Company of Rs. 1.00 crore . GIVO has filed an appeal in the Supreme Court against the order of CUSTOMS and is pending.

The Company had filed a reference to BIFR on the basis of B/S for FY 2000-01and our reference was registered by BIFR on March 20th, 2002 as case no. 128/02. BIFR on 09.09.2003 has declared GIVO Ltd as a Sick Company.

The AEPC has issued a demand of Rs. 14.38 lakhs on18/08/1998 for non-utilization of Export Quota Certificates for the year 1997. The Company has filed a SLP before Hon'ble Supreme Court against the said demand and the matter is pending adjudication.

Comments on Qualifications of Auditors on Anuual Accounts for FY ended 31/03/2003.

(Para 3a of the Auditors' report) The Management has continued to take steps for recovery of overdue loans and advances. As such, the Management is hopeful of recovery of said amount and provision if necessary may be required to be made in the books of accounts.

(Para 3b of the Auditors' report) Financial Institutions have filed a suit for Recovery of its outstanding in the Debts Recovery Tribunal. The Company is in the process of negotiating an OTS proposal with the Financial Institutions. As a part of such negotiations, the Company has not provided interest on loans from the FI's/Banks/ECB in the quarter ended March 31, 2004 to the tune of Rs. 250.81 lacs. The cumulative amount not provided as on March 31, 2004 is Rs. 3819.7 lacs.

(Para 3c of the Auditors' report) The Company has imported Plant and Machinery under EPCG scheme. Necessary documents for discharge of Export Obligation have been submitted to the concerned Deptt.

The Sales Tax Exemption available to the company expired on 30.08.03, Stock Transfers since that date is no more allowed to the company. Hence all dispatches on consignment basis thereafter have been treated as Sales.

Segmentation of Expenditure, Net Results, and Capital Employed is not possible due to the nature of business.
